14. Dispute Resolution

14.1 Informal Resolution

Before filing any formal legal action, you agree to first attempt to resolve any dispute with DSP informally by contacting us at the information listed in Section 18. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice.

14.2 Binding Arbitration

If the dispute is not resolved informally within thirty (30) days, any controversy or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures. The arbitration shall take place in Riverside County, California. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction thereof.

14.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND DSP AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against DSP relating to these Terms or your use of the Website.

14.4 Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court in Riverside County, California, if the claim qualifies.

14.5 Statute of Limitations

You agree that any cause of action arising out of or related to your use of the Website or these Terms must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. To the extent that any legal action is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Riverside County, California for the resolution of any disputes.

16. Severability & Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

No waiver by DSP of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of DSP to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

17. Changes to Terms

DSP reserves the right to modify, amend, or update these Terms at any time, in our sole discretion. Changes will be effective immediately upon posting the updated Terms on this page. The “Last updated” date at the top of this page will be revised accordingly. Your continued use of the Website after any changes constitutes your acceptance of the new Terms.
